Terms of service
These terms apply when a business uses Licens. We've tried to keep them as plain as possible.
Draft – must be reviewed by a lawyer before launch.
1. The agreement
These terms form the agreement between Itema AS (org. no. 882 067 122, Brøsetvegen 164B, 7069 Trondheim, Norway), which provides, operates and sells Licens, and the business that creates an organisation in the service (“the customer”). The person creating the account confirms that they are authorised to bind the customer. The service is intended for businesses and public bodies. “We” and “us” in these terms mean Itema AS.
2. The service
Licens is a tool for recording agreements, calculating deadlines, sending reminders and storing documents. Deadlines are calculated from information the customer enters. The customer is responsible for that information being correct and for meeting the deadlines in its own agreements. Licens does not provide legal advice.
We work to keep the service stable and available but cannot guarantee it will be uninterrupted. Reminders are sent by e-mail and SMS, whose delivery we do not fully control.
3. Subscription, trial and payment
The free plan can be used without a time limit within its limits. Paid plans are billed in advance monthly or yearly in NOK via Stripe, plus VAT. The trial lasts 14 days and moves to the free plan if the customer doesn't choose a paid plan.
We may change prices with at least 30 days' notice. Changes apply from the next billing period.
4. Cancellation
The customer can cancel at any time. The subscription runs until the end of the paid period and does not renew. Paid periods are not refunded. We may terminate the agreement with 30 days' notice, or immediately in the event of material breach, such as misuse of the service.
5. Customer data
The customer owns all data and documents it enters. We use them only to provide the service. The customer can export all data at any time, including for a reasonable period after cancellation, and can ask for the organisation to be deleted. Processing of personal data is governed by the data processing agreement.
6. Acceptable use
The service must not be used for unlawful content, to try to access other people's data, or in a way that places unreasonable load on the service. The customer is responsible for the users it gives access to.
7. Liability
Our total liability is limited to the amount the customer has paid for the service in the previous 12 months. We are not liable for indirect losses, such as lost profit or the cost of an agreement that wasn't terminated in time. These limitations don't apply in cases of wilful misconduct or gross negligence.
8. Changes, governing law and jurisdiction
We may change these terms with at least 30 days' notice by e-mail. Material changes to the customer's disadvantage give the customer the right to cancel before they take effect. The agreement is governed by Norwegian law, and disputes are resolved by the ordinary Norwegian courts.
